Terms & Conditions

1. Definitions

• “Zeicle” — the operator of the Services (details at the end of these Terms).
• “Customer” / “Organisation” — the business entity that subscribes to or uses the Services.
• “User” — an individual authorised to access a Customer’s workspace.
• “Customer Data” — content and data submitted to the Services by a Customer or its Users.

2. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract. You are responsible for the accuracy of your registration details, for safeguarding your login credentials, and for all activity under your account. Notify us promptly of any unauthorised use.

3. The Services & modules

Zeicle is a modular platform. The specific modules, features, and limits available to you depend on your selected plan or package. We may add, change, or discontinue features, and we will use reasonable efforts to avoid materially reducing core functionality of a paid plan during its term.

4. Subscriptions, fees & taxes

• Paid plans are billed in advance on a recurring basis (monthly or annual) according to the plan you select.
• Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled.
• Fees are exclusive of applicable taxes (such as GST), which will be added where required.
• We may change pricing; changes apply from your next billing period after reasonable notice.
• Failure to pay may result in suspension or termination as described below and in our Refund & Cancellation Policy.

Cancellations and refunds are governed by our Refund & Cancellation Policy.

5. Acceptable use

You agree not to:

• use the Services unlawfully or in violation of any applicable regulation;
• upload content that is infringing, unlawful, harmful, or that you lack the right to use;
• attempt to gain unauthorised access to, disrupt, or overload the Services or related systems;
• reverse engineer, copy, or resell the Services except as expressly permitted; or
• use the Services to send unlawful or unsolicited communications.

6. Customer Data & ownership

As between you and Zeicle, you own your Customer Data. You grant Zeicle a limited licence to host, process, transmit, and display Customer Data solely to provide and support the Services. You are responsible for the legality of your Customer Data and for having the necessary rights and consents for the data you submit.

7. Intellectual property

The Services, including all software, design, and the Zeicle name and marks, are owned by Zeicle and its licensors and are protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription; no other rights are granted.

8. Third-party services

The Services integrate with third parties (for example, payment gateways, messaging providers, and identity providers). Your use of those integrations may be subject to the third party’s own terms, and Zeicle is not responsible for third-party services.

9. Availability & warranties

We work to keep the Services available and reliable but provide them on an “as is” and “as available” basis. We may perform maintenance and may experience downtime. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Suspension & termination

We may suspend or terminate access for non-payment, breach of these Terms, or where required to protect the Services or other users. You may cancel as described in our Refund & Cancellation Policy. On termination, your right to use the Services ends; we will make Customer Data available for export for a reasonable period, after which it may be deleted in the ordinary course.

11. Limitation of liability

To the maximum extent permitted by law, Zeicle will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Zeicle for the Services in the twelve months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Zeicle harmless from claims, losses, and expenses arising from your Customer Data, your use of the Services, or your breach of these Terms.

13. Governing law & jurisdiction

These Terms are governed by the laws of India. The courts at Chandigarh, India will have exclusive jurisdiction, subject to any applicable mandatory law.

14. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date and, for material changes, provide additional notice. Continued use after an update constitutes acceptance.
